These Terms of Service (“Terms”) are a working draft describing how Capnodes (the “Service”) may be used. They do not create a binding commercial contract until reviewed by counsel and accepted by Capnodes and the customer.
Eligibility. The Service is intended for professional users acting on behalf of investment firms, corporate issuers, IR agencies, or sellside research firms. You must provide accurate registration information and maintain the confidentiality of your credentials.
Accounts and organizations. You may create or join investor companies, corporate companies, IR firms, or sellside firms. Actions you take may bind your organization under internal permissions (owner/admin/member roles). You are responsible for activity performed with your account.
Acceptable use. You will not scrape, reverse engineer, harass users, upload malware, or misuse messaging, meetings, or research distribution for spam or market abuse. Capnodes may suspend accounts that violate these Terms or applicable law.
Content. You retain ownership of content you submit (profiles, messages, research notes, attachments). You grant Capnodes a limited license to host, process, and display that content as needed to operate the Service. Public marketing profiles and Research Wire items may be visible to other authorized users.
Meetings and calendar. Capnodes provides scheduling tools and optional calendar export links/ICS. Capnodes does not guarantee third-party calendar delivery or video provider availability.
Admin approval. Capnodes may require platform approval of new users or companies before full access. Rejection or suspension may occur when verification or compliance checks fail.
Disclaimers. The Service is provided “as is.” Capnodes does not provide investment advice. Match scores and demand intelligence are informational and may be incomplete.
Limitation of liability. To the fullest extent permitted by law, Capnodes’ aggregate liability arising from the Service is limited to fees paid by your organization for the Service in the twelve months before the claim (or USD 100 if no fees were paid).
Changes. We may update these Terms. Material changes for paying customers will be communicated through the Service or email. Continued use after the effective date constitutes acceptance of the updated Terms once they are finalized.
